By using the Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1.2 Account Creation

To access certain features of the Services, you must create an account. When creating your account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and current
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

1.3 Account Types

Rentelio offers different account types including Landlord accounts and Tenant accounts. Each account type has specific features and responsibilities. You agree to use your account only for its intended purpose and in accordance with these Terms.

2. Description of Services

2.1 Platform Overview

Rentelio provides a property management platform that enables landlords to manage rental properties and tenants to manage their rental obligations. Our Services include, but are not limited to:

• Property and unit management tools
• Lease creation and digital signing
• Online rent collection and payment processing
• Maintenance request tracking and management
• Document storage and management
• Communication tools between landlords and tenants
• Financial reporting and analytics

2.2 Third-Party Services

Our Services may integrate with or rely upon third-party services, including payment processors (such as Stripe), identity verification services, and cloud storage providers. Your use of these third-party services may be subject to additional terms and conditions. We are not responsible for the actions, content, or policies of any third-party services.

3. Subscription Plans and Payments

3.1 Subscription Plans

Rentelio offers various subscription plans with different features and pricing. The specific features, limitations, and pricing of each plan are described on our pricing page. We reserve the right to modify our subscription plans and pricing at any time with reasonable notice.

3.2 Payment Terms

By subscribing to a paid plan, you agree to the following:

• Billing: You authorize us to charge your designated payment method for all applicable fees on a recurring basis according to your selected billing cycle.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Payment Processing: All payments are processed securely through Stripe. Rentelio does not store your complete payment card information.
• Currency: All prices are displayed and charged in US Dollars (USD) unless otherwise specified.

3.3 Transaction Fees

For rent payments processed through our platform, transaction fees may apply. These fees are clearly disclosed before each transaction is completed. Landlords may choose to absorb these fees or pass them on to tenants, as permitted by applicable law.

3.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not receive a refund for any unused portion of your subscription
• You will retain access to your data in a read-only format for 30 days after cancellation

4. User Responsibilities and Conduct

4.1 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe upon or violate the intellectual property rights or privacy rights of others
• Transmit any viruses, malware, or other malicious code
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Engage in any form of discrimination or harassment
• Collect or harvest any information from the Services without authorization
• Impersonate any person or entity or misrepresent your affiliation

4.2 Content Standards

When using the Services, you may submit, upload, or transmit various types of content ("User Content"). You are solely responsible for your User Content and agree that it will not:

• Contain false, misleading, or fraudulent information
• Defame, abuse, harass, or threaten others
• Contain obscene, offensive, or inappropriate material
• Violate the privacy rights of any third party
• Promote illegal activities or harm to any person or entity

4.3 Compliance with Housing Laws

Users are responsible for ensuring their use of the Services complies with all applicable fair housing laws, including but not limited to the Fair Housing Act. Rentelio does not tolerate discrimination based on race, color, religion, sex, national origin, familial status, disability, or any other protected characteristic.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services and all content, features, and functionality thereof (including but not limited to text, graphics, logos, icons, images, audio, video, software, and the design, selection, and arrangement thereof) are owned by Rentelio LLC, its licensors, or other content providers and are protected by United States and international intellectual property laws.

5.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:

• Modify, copy, or create derivative works based on the Services
• Reverse engineer, disassemble, or decompile any software used in the Services
• Remove any copyright, trademark, or proprietary notices from the Services
• Transfer, sublicense, or assign your rights under this license

5.3 Your Content

You retain ownership of any User Content you submit through the Services. By submitting User Content, you grant Rentelio a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Services.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

7. Disclaimers and Limitations of Liability

7.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, RENTELIO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We make no representations about the accuracy, reliability, or completeness of any content available through the Services.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RENTELIO LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, or business opportunities
• Loss of data or use of the Services
• Cost of procurement of substitute services
• Goodwill or reputation damage
• Any other intangible losses

Our total liability for any claims arising under these Terms shall not exceed the total amount paid by you to Rentelio during the twelve (12) months preceding the claim.

7.3 Platform Role

Rentelio serves as a platform to facilitate property management activities between landlords and tenants. We are not a party to any lease agreement or rental arrangement between users and are not responsible for the actions, omissions, or conduct of any user. All disputes between landlords and tenants should be resolved directly between the parties.

8. Indemnification

You agree to defend, indemnify, and hold harmless Rentelio LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your User Content
• Your use of the Services
• Your violation of any rights of a third party
• Your violation of any applicable law or regulation

9. Term and Termination

9.1 Term

These Terms remain in effect while you use the Services. You may terminate your account at any time by contacting us or through your account settings.

9.2 Termination by Rentelio

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Request by law enforcement or government agency
• Extended periods of inactivity
• Technical or security issues
• Discontinuation of the Services

9.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall remain in effect, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Dispute Resolution

10.1 Informal Resolution

Before filing any formal legal claim, you agree to contact us at support@rentelio.io and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved through good faith negotiations.

10.2 Arbitration Agreement

If informal resolution is unsuccessful, you and Rentelio agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Delaware, unless otherwise mutually agreed.

10.3 Class Action Waiver

YOU AND RENTELIO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms.

We encourage you to review these Terms periodically. The "Last updated" date at the top of this page indicates when these Terms were last revised.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Rentelio regarding the Services.

12.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 Waiver

The failure of Rentelio to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Rentelio may freely assign these Terms without restriction.

12.5 Notices

We may provide notices to you via email, through the Services, or by posting on the Site. You agree that electronic notices satisfy any legal requirement for written communication.
